

DOMAIN TOKENIZATION ADDENDUM
(Registrar Addendum for Doma Protocol-Enabled Services)

This Domain Tokenization Addendum (“Addendum”) supplements the Registrar's existing customer terms and conditions (“Registrar Terms”) solely with respect to features enabled by, or integrated with, the Doma Protocol, which is operated by the Doma Foundation, a Cayman Islands foundation company (“Doma”). This Addendum is incorporated into and made part of the Registrar Terms. Capitalized terms not defined in this Addendum have the meaning given in the Registrar Terms.
For the purposes of this Addendum, “Tokenized Interests” means the fractionalized, on-chain representations issued by the Protocol in connection with a tokenized domain, as more fully described in the Protocol documentation and “Doma Protocol” or “Protocol” refers to the decentralized smart-contract system operated by Doma that enables domain tokenization, fractionalization, on-chain redemption, protocol-issued subdomains, and other technical utilities.
The Protocol functions autonomously on blockchain infrastructure, and all token-related actions occur strictly through its smart contracts. Documentation is available at https://docs.doma.xyz.
Doma itself does not act as a registrar, does not buy or sell domains, and does not participate in customer transactions. For more information, see https://doma.xyz.
1. Use of the Doma Protocol
Certain features offered by Registrar may be powered by the Doma Protocol, a decentralized smart-contract system for domain tokenization, fractionalization, and protocol-level utilities. By using these features, Customer acknowledges that:
- Doma operates independently from Registrar.
- Registrar does not control or guarantee Protocol behavior, availability, or outcomes.
- All tokenization and redemption are governed exclusively by the Protocol's smart contracts, available at https://docs.doma.xyz, and are also subject to Doma's Terms of Service at https://doma.xyz/terms and Doma's Privacy Notice at https://doma.xyz/privacy, as applicable.
- Registrar retains discretion to refuse tokenization requests for domains ineligible under registry or ICANN policies.
2. Tokenized Domains & Fractional Interests
If Customer elects to tokenize a domain name:
- Tokenized Interests represent protocol-level positions only and do not convey, guarantee, or substitute for domain ownership, title, transfer rights, or registry-level benefits.
- Tokenized Interests are not issued or guaranteed by Registrar.
- Registrar does not custody or hold any Tokenized Interests.
- Registrar does not set, influence, or guarantee token values, liquidity, market prices, or redemption outcomes.
- All token-related activity occurs exclusively on-chain through the Doma Protocol.
- Customer bears sole responsibility for maintaining access to any wallets, private keys, or credentials used in connection with Tokenized Interests, and Registrar has no ability to recover, reset, or restore access to wallets, and loss of access may result in permanent loss of Tokenized Interests or associated Protocol functionality.
3. Proxy Custodial Control During Fractionalization
For domains that are fractionalized, or that have been sold but not yet claimed by a subsequent buyer, Customer acknowledges and agrees that:
- Registrant control will be transferred into the designated Doma Proxy Solutions registrant account, which serves solely as a technical registrant-of-record for protocol enforcement, DNS stability, and ICANN compliance.
- Doma Proxy Solutions does not obtain beneficial ownership of the domain and may not use, transfer, modify, or commercially exploit the domain.
- During this period, domain actions are limited to those permitted by the Doma Protocol, and discretionary control is not available until the domain is redeemed or claimed.
- Registrant control automatically reverts to the lawful owner once all Tokenized Interests are redeemed or a subsequent buyer completes the claim process.
- Registrar is not responsible for actions taken by the Proxy or Doma Protocol pursuant to Protocol logic.
- Customer acknowledges that during any period in which a domain name is subject to tokenization or fractionalization under the Protocol, timely renewal of the domain name remains the responsibility of the lawful owner or as otherwise provided by the Protocol. Failure to maintain sufficient funds, wallet access, or other required inputs necessary to complete renewal actions may result in expiration, suspension, or loss of the domain name in accordance with registry and ICANN rules.
- Neither Registrar, Doma, nor Doma Proxy Solutions guarantees uninterrupted domain continuity during Protocol participation, and none shall be liable for loss of a domain name resulting from failure to complete required renewal actions, whether due to wallet inaccessibility, smart-contract execution issues, or user error.
- For the avoidance of doubt, Doma Proxy Solutions acts solely as a technical registrant-of-record to effectuate Protocol logic and ICANN compliance and does not act as an escrow agent, trustee, fiduciary, or agent for Customer, tokenholders, or any third party.
4. Protocol-Issued Subdomains
Token holders may receive optional protocol-level subdomain utilities. Customer acknowledges that:
- These subdomains do not provide DNS authority, nameserver control, email routing, hosting, or content control.
- They are non-authoritative and exist only within the Protocol.
- They automatically terminate once the domain is redeemed or reclaimed.
- Registrar is not responsible for their creation, use, or deletion.
5. Registrar Functions vs. Protocol Functions
Customer understands and agrees that:
- Registrar manages registration, renewal, WHOIS/RDAP, DNS, and ICANN compliance.
- Registrar may take actions required by UDRP, URS, court orders, or registry policies irrespective of on-chain token activity, and the Protocol may update or remove corresponding token states accordingly.
- The Doma Protocol governs tokenization, redemption, bonding curves, participation utilities, and protocol-level subdomains.
- Where Registrar Terms conflict with Protocol logic, the Protocol governs on-chain behavior.
- During any period in which the Proxy is registrant of record, the Proxy's role remains purely administrative, technical and non-beneficial.
For clarity, the Registrar Record and applicable Registry policies remain the authoritative source of rights with respect to any domain name, notwithstanding any on-chain representation. Registrar's obligations under applicable registry agreements, ICANN policies, and applicable law apply at all times and survive any Protocol participation, tokenization, or fractionalization activity.
6. Off-Platform Sales of Tokenized Domains
If Customer sells a tokenized domain off-platform:
- Customer remains subject to the Protocol's redemption mechanism until all Tokenized Interests are redeemed.
- Registrar cannot transfer registrant control until Protocol settlement is complete.
- Off-chain purchase agreements cannot override Protocol rules.
7. Risk Disclosure
Customer acknowledges and assumes all risks associated with:
- smart-contract execution
- market volatility
- token pricing and liquidity
- bonding curve fluctuations
- delays or failures in on-chain actions
Registrar does not provide investment advice or financial guarantees. Nothing in this Addendum or the Protocol is intended to constitute an offer or sale of securities, investment contracts, or financial instruments, and participation in Protocol features is for technical and utility purposes only.
8. Privacy & Data Use
Registrar may transmit limited domain registration or DNS configuration data to Doma or Doma Proxy Solutions solely as necessary to enable Protocol functionality and to maintain DNS stability and ICANN compliance. 9. Disclaimer
Registrar disclaims all responsibility for:
- smart-contract functionality
- pricing of Tokenized Interests
- market behavior of tokenholders
- Protocol downtime or errors
- redemption outcomes
All such matters fall exclusively within the Doma Protocol.
10. Execution
This Addendum is deemed accepted when Customer uses any Doma-enabled features or tokenization services offered by Registrar.
